1. Subject of the Agreement

This agreement regulates the cooperation between you (the affiliate partner) and NemoMatheo (the operator) within the framework of the NemoMatheo Partner Program. By registering, you agree to these terms and conditions.

2. Commission

• Bronze: 10% on the net order value (after discount, before shipping costs)
• Silver: 13% (from 20 orders and €500 turnover)
• Gold: 16% (from 100 orders and €2,000 turnover)

Commission is assigned based on your personal discount code. If a customer uses your code when purchasing, the commission will be credited to you.

3. Confirmation and Payout

• Commissions are confirmed 30 days after the purchase date. This covers the statutory right of withdrawal (14 days) and processing time.
• Payouts are made monthly, starting from a minimum balance of €25.
• Available payment methods: PayPal and SEPA transfer.
• You will receive a credit note from us (billing document according to §14 UStG) for each payout.

4. Cancellation and Returns

• In the event of a full return within the withdrawal period, the associated commission will be canceled.
• In the event of a partial return, the commission will be adjusted proportionally based on the retained order value.
• Commissions already paid for canceled orders will be offset against future payouts.

5. Permitted Advertising Methods

• Own social media channels (Instagram, TikTok, YouTube, Pinterest, Facebook)
• Own blog or personal website
• Email newsletter to own subscribers (no spam)
• Personal recommendations and word-of-mouth
• Podcast mentions

6. Prohibited Advertising Methods

• Paid search engine advertising (Google Ads, Bing Ads) on the brand name "NemoMatheo" or variations thereof
• Spam emails, unsolicited direct messages, or comment spam
• Misleading advertising, false discount promises, or exaggerated claims
• Cookie stuffing, click injection, or any form of technical manipulation
• Use on cashback, voucher, or deal sites without prior written permission
• Content that violates applicable law or is discriminatory, defamatory, or offensive

7. Advertising Labeling

You are legally obligated to label all content with an affiliate reference as advertising. This applies to all platforms and formats.

Accepted labels:

• "Werbung" (Advertisement) or "Anzeige" (Ad) — at the beginning of the post, clearly visible
• "Contains affiliate links" — for blog articles
• Platform-specific tools (e.g., Instagram "Paid Partnership")

Insufficient: Only hashtags like #ad at the end, hidden among many other hashtags, or only in the story description.

Violations of the labeling requirement can lead to immediate termination. NemoMatheo assumes no liability for violations by partners.

8. Brand Usage

• You may use the NemoMatheo logo and official product images for advertising purposes within the scope of this program.
• The logo may not be altered, distorted, or used in a misleading context.
• You may not impersonate an employee or official representative of NemoMatheo.

9. Data Protection

• The processing of your personal data takes place in accordance with our privacy policy and the GDPR.
• We store: name, email, payment information, tax number, and performance data – exclusively for the implementation of the partner program.
• Tax-relevant data is stored for 10 years in accordance with §147 AO and §257 HGB.
• You have the right to information, rectification, and erasure of your data at any time (considering legal retention obligations).
• Customer data is not passed on to partners. You only receive aggregated, anonymized statistics.

10. Tax Information

• Commission income is subject to income tax. You are solely responsible for proper taxation.
• We require from you: full name, address, tax number (or VAT ID), and, if applicable, an indication of whether you use the small business regulation (§19 UStG).
• For each payout, we create a credit note in accordance with §14 para. 2 sentence 2 UStG. Please do not issue your own invoice - the credit note replaces it.
• For small businesses, no VAT will be shown (note: "In accordance with §19 UStG, no VAT is charged").

11. Termination

• Both parties can terminate the cooperation at any time with 14 days' notice in writing (email is sufficient).
• Already confirmed commissions will be paid out even after termination.
• NemoMatheo reserves the right to terminate the cooperation without notice and withhold outstanding commissions in case of a violation of these terms.
• After termination, further use of the discount code and the NemoMatheo brand is prohibited.

12. Liability

• You are solely responsible for the legality of your content.
• You indemnify NemoMatheo from all third-party claims arising from your advertising activities.
• NemoMatheo is not liable for technical failures of the tracking system, provided these are remedied without delay.

13. Amendments

NemoMatheo reserves the right to amend these terms at any time. Changes will be communicated via email and will take effect 14 days after notification. In case of objection, you have the right to terminate without notice.

14. Applicable Law

The law of the Federal Republic of Germany applies. The place of jurisdiction is, as far as legally permissible, the registered office of NemoMatheo.
